Terms applying to all of our client agreements

The parties, for good and valuable consideration, the receipt and sufficiency of which is acknowledged, and in consideration of the mutual promises herein, agree as follows:

1. Definitions

For the purposes of these terms:

Your use of this Education Management System, known as “Pasgorett Academy,” constitutes your agreement to all terms, conditions, and notices contained or referenced within these Terms of Use (“Terms”). You will be referred to as the “User” or “Users” subsequently. The scope of these Terms covers your engagement with Pasgorett Academy and all associated materials, information, software, content, products, and services. This includes items owned or licensed by Pasgorett Academy Virtual Schools (“Pasgorett Academy”) and accessible via Pasgorett Academy (“Pasgorett Academy Content”), as well as content owned or licensed by third-party providers made available through Pasgorett Academy with their consent (“Third Party Content”). Collectivelly, “Pasgorett Academy Content” and “Third Party Content” shall be referred to as “the Content.” Should the User be a minor, responsibility for them rests with their parent or guardian, who is obligated to ensure the User complies with the Terms.

Any content uploaded or otherwise made available by a Third Party remains the sole property of the Third Party or their licensors. By uploading or making Third Party Content available, you automatically grant, or warrant that the owner has granted, Pasgorett a perpetual, royalty-free, non-exclusive license. This license permits Pasgorett to use, reproduce, publish, distribute, display, and transmit the content specifically through the channel where you uploaded it or authorized its upload. Furthermore, you permit other Pasgorett Academy Users who have access to that specific channel to access, view, store, and reproduce the Third Party Content. This permission is subject to any restrictions you apply and is granted to the same extent allowed by these terms. As allowed by the specific agreement between Pasgorett and the Third Party, the Third Party may remove, obscure, alter, or modify their Third Party Content. However, this remains subject to the terms and conditions for using Pasgorett Academy as set forth in this document.

Pasgorett reserves the right to modify these Terms at any time. These modifications become effective immediately upon posting the updated Terms on the Pasgorett Academy log-in page. The most current version of these Terms is always accessible via the “Terms & Conditions” link found at the bottom of the Pasgorett Academy log-in page.

2. Permitted Use

Pasgorett Academy is exclusively intended to be utilized for the purpose of engaging with the education program, which is either licensed by or for the benefit of the User. Pasgorett grants the User a limited, non-exclusive, and non-transferable license to access, view, visit, use, and print the Content, but only for the User’s personal non-commercial use in connection with the education program. It is expressly forbidden to use the Content for any purpose other than what has been permitted in these Terms.

Users are not allowed to modify, cover, or alter the Content in any way without prior written consent from Pasgorett. Users must not use Pasgorett Academy in a manner that could harm, disable, overload, or negatively affect any Pasgorett server or network(s) connected to any Pasgorett server. Users are also prohibited from interfering with any other party’s use and enjoyment of Pasgorett Academy. Unauthorized access to any accounts, computer systems, or networks connected to any Pasgorett server is strictly forbidden, and users must not attempt to obtain any materials or information through any means not intentionally made available through Pasgorett Academy.

Accessing or using Pasgorett Academy for the following purposes is strictly prohibited. By using Pasgorett Academy, users agree not to:

It is prohibited to transmit, access, or present sexually explicit, obscene, or pornographic content, or any material that is damaging to minors.

Pretending to be someone else or an entity (by using their password or other methods), including any Pasgorett Academy staff or representative, is not allowed.

Users are not permitted to reproduce or distribute any material owned by Pasgorett Academy (such as content on the Message Boards, WebMail messages, or curriculum materials, including answer keys) without obtaining prior permission from the owner.

Do not gather information about other users or members of this site, especially to send unwanted or bulk electronic messages (like spam).

Do not use the provided communication services for activities such as surveys, contests, pyramid schemes, chain letters, junk email, spamming, or sending any repetitive or unsolicited messages (commercial or otherwise).

Do not upload files containing viruses, malware (like Trojan horses, worms, time bombs, cancelbots), corrupted files, or any other software designed to damage or disrupt another person’s computer or property.

It is prohibited to solicit or collect personal information, including names, addresses, and phone numbers, from individuals under the age of eighteen (18) without obtaining verified parental consent.

Displaying threatening or offensive material is forbidden, which includes using swear words, offensive, vulgar, or obscene language.

You must not display messages or pictures that are ethnic/racist, prejudiced, or discriminatory.

Violation of any state or federal law is not permitted.

You are forbidden from revealing another User’s or a minor’s personal address, phone number, or similar information to others without obtaining their consent (or verified parental consent for a minor).

Do not violate any intellectual property laws, such as copyright, trademark, patent, or trade secret law, or use intellectual property owned by another person or entity without the owner’s express permission. This includes sharing links to or incorporating copyrighted or trademarked materials from third parties within Pasgorett Academy (such as on Message Boards or in WebMail messages) without authorization, as well as using any trademarks, service marks, or brand names without permission on social media or other websites.

Do not trespass or gain unauthorized access to another person’s folders, work, or files.

Do not promote commercial activities unless Pasgorett Academy has provided written agreement allowing it.

Avoid advertising products or services or engaging in political lobbying.

Do not defame, harass, insult, abuse, stalk, threaten, attack, or otherwise infringe upon the legal rights (such as privacy and publicity) of another person, nor interfere with another person’s work, including, but not limited to, sending unwanted WebMail messages or e-mail.

Refrain from providing material support or resources to (or concealing the nature, location, source, or ownership of material support or resources of) any organization(s) designated by the Nigerian government as a foreign terrorist organization pursuant to the Terrorism Prevention Amendment Act.

Every user will receive a username and password, referred to as “Log-in Information,” which allows them to access Pasgorett Academy and its Content. Users must keep their Log-in Information strictly confidential, and it is solely for the use of the assigned User. Users are responsible for maintaining the security and confidentiality of all Log-in Information and for preventing unauthorized persons from accessing Pasgorett Academy and/or the Content using a User’s Log-in Information. Users will be held responsible for any and all activities that occur under their account. Users must notify Pasgorett Academy immediately of any unauthorized use of their account or any other security breach. Despite the above rules, certain employees of Pasgorett Academy will be permitted to “log in as” someone other than themselves, after receiving their supervisor’s approval and completing specific training.

3. Proprietary Rights

The User understands and agrees that the information available within Pasgorett Academy is protected by various intellectual property rights and related laws, including copyrights, trademarks, patents, and trade secrets, and may only be utilized as permitted by law and with the specific authorization of the owner. Unless expressly allowed by Pasgorett Academy, Users are prohibited from selling, licensing, renting, modifying, distributing, copying, reproducing, transmitting, publicly displaying, publicly performing, publishing, adapting, editing, or creating derivative works from, or otherwise exploiting the Content or features found in Pasgorett Academy, regardless of the format or platform. Users bear sole responsibility for their own usage and for ensuring that such usage does not violate the legal rights belonging to Pasgorett Academy or other parties.
Beyond potential legal action, any unauthorized use, specifically including the copying or reposting of intellectual property from Pasgorett Academy or external sources, could result in one or more of the following outcomes: the termination of access to Pasgorett Academy.

4. Copyright Infringement

All content is owned or managed by Pasgorett Academy or the third party identified as its provider. This content may not be copied, reproduced, distributed, or altered in any way without Pasgorett Academy’s explicit written consent. If you are concerned about the copyright of materials posted by others on Pasgorett Academy, please let us know. As an Internet service provider, we adhere to the Nigeria Data Protection Act. To provide us with written notice (“Notice”), unless a different NDPA designation has been specified by Pasgorett Academy, please contact our Designated Agent at [email protected]m.

To be effective, the Notice must contain the following:

The physical or electronic signature of the “Complaining Party,” defined as the owner or someone authorized to act on behalf of the owner of the exclusive right claimed to be infringed upon;

Sufficient contact details for the Complaining Party to enable Pasgorett Academy to reach them, such as their address, telephone number, and any available electronic mail address;

Provide identification of the allegedly infringing material on Pasgorett Academy (the “Infringing Material”), along with information reasonably sufficient for Pasgorett Academy to find the material;

A description of the copyrighted work(s) claimed to have been infringed. If multiple copyrighted works on Pasgorett Academy are included in this notice, a list of each infringed work is required. Please ensure specificity regarding which material is infringing upon which copyrighted work;

A declaration asserting the Complaining Party’s genuine belief that the use of the Infringing Material as complained of lacks authorization from the copyright owner, its designated agent, or the law; and

A declaration attesting to the truthfulness of the information within the Notice, and swearing, under penalty of perjury, that the Complaining Party is the rightful owner or is authorized to act on behalf of the owner concerning an exclusive right purportedly infringed.

5. Links

Pasgorett Academy may provide links to other websites or resources strictly for the User’s convenience. Unless stated otherwise, these linked sites are not overseen by Pasgorett Academy, and Pasgorett Academy bears no responsibility for the material available on these third-party sites. Pasgorett Academy offers no warranties, assurances, or commitments whatsoever regarding any third-party websites or resources referenced, accessible from, or connected to Pasgorett Academy. The inclusion of a link to a website does not signify that Pasgorett Academy endorses its content, its owner, or the use of that website. Furthermore, Pasgorett Academy is not a party to or responsible for any transactions the User might engage in with third parties, even if the User discovers or links to such parties through Pasgorett Academy. Therefore, the User acknowledges and agrees that Pasgorett Academy is not accountable for the availability of such external websites or resources, except where specifically agreed upon, and is not liable for any content, services, products, or other materials on or accessible from those external locations.

6. Privacy

The Privacy Policy, integrated into these Terms, also applies to your use of Pasgorett Academy, to which you agree.

7. Warranty and Other Disclaimers

Pasgorett Academy strives to ensure the accuracy of all information provided, subject to the limitations outlined below:

Please note that while Pasgorett Academy uses reasonable efforts to keep information current, accurate, and complete, we cannot promise or guarantee that the materials are free from errors or inaccuracies.

By using Pasgorett Academy, you acknowledge that we are not responsible for the behavior of other users or for any defamatory, offensive, infringing, or illegal materials found on the platform or in communication services. Pasgorett Academy retains the right to correct any errors and remove materials as needed, at our discretion and without liability.

8. Disclaimer of Warranty

USING PASGORETT ACADEMY OR ANY COMMUNICATION SERVICE IS ENTIRELY YOUR RESPONSIBILITY. EVERYTHING PROVIDED—MATERIALS, INFORMATION, PRODUCTS, SOFTWARE, PROGRAMS, AND SERVICES—COMES “AS IS,” WITH NO GUARANTEES OR WARRANTIES WHATSOEVER. PASGORETT ACADEMY EXPLICITLY REJECTS, TO THE FULLEST EXTENT ALLOWED BY LAW, ALL WARRANTIES, GUARANTEES, OR REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THIS INCLUDES, BUT ISN’T LIMITED TO, IMPLIED WARRANTIES ABOUT MARKETABILITY, SUITABILITY FOR A PARTICULAR USE, AND NOT VIOLATING OTHERS’ PROPRIETARY OR INTELLECTUAL PROPERTY RIGHTS. FOR INSTANCE, PASGORETT ACADEMY DOES NOT GUARANTEE THAT USING THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR WITHOUT ERRORS. YOU ACKNOWLEDGE AND AGREE THAT IF YOU DOWNLOAD OR OTHERWISE GET MATERIALS, INFORMATION, PRODUCTS, SOFTWARE, PROGRAMS, OR SERVICES, YOU DO SO AT YOUR OWN CHOICE AND RISK. YOU WILL BE SOLELY ACCOUNTABLE FOR ANY DAMAGE THAT MIGHT RESULT, INCLUDING LOSING DATA OR HARMING YOUR COMPUTER SYSTEM. BE AWARE THAT SOME LEGAL AREAS DON’T ALLOW EXCLUDING WARRANTIES, SO THE ABOVE EXCLUSIONS MIGHT NOT APPLY TO YOU.

9. Release

BY USING THE SERVICE, THE USER RELEASES AND GIVES UP THE RIGHT TO SUE PASGORETT ACADEMY AND EVERYONE WORKING FOR THEM (REFERRED TO AS THE “RELEASED PARTIES”). THIS RELEASE APPLIES TO ALL ACTIONS, CLAIMS, DAMAGES, COSTS, OR EXPENSES THAT RESULT FROM OR ARE RELATED TO THE USER OR THEIR CHILD(REN) USING THE PASGORETT ACADEMY OR ANY COMMUNICATION SERVICE. THE USER UNDERSTANDS THAT THIS IS A FULL RELEASE, COVERING ALL CLAIMS AND DAMAGES YOU OR YOUR CHILD(REN) MIGHT HAVE BECAUSE OF USING THE SERVICE, REGARDLESS OF THE SPECIFIC REASON, TO THE MAXIMUM EXTENT ALLOWED BY LAW.

10. Indemnification

Pasgorett Academy has requested that the User agrees to the following: the User will defend, indemnify, and hold harmless Pasgorett Academy, along with its affiliates, employees, contractors, officers, directors, third-party content providers and licensors, from all liabilities, claims, and expenses, including attorney’s fees, which arise from the User’s use or misuse of Pasgorett Academy, its Content, or any Communication Services. Pasgorett Academy reserves the right to assume the defense and control of any matter for which the User is responsible for indemnification, and in such cases, the User must cooperate with Pasgorett Academy in asserting any available defenses. Any costs incurred by Pasgorett Academy in assuming such defense will be at its own expense.

11. Termination of Use

If you violate these Terms, you might be blocked from using Pasgorett Academy in the future or face legal action. Reasons for suspending, ending, or deleting your account include, but are not limited to: (a) breaking these Terms or other agreements/rules, (b) requests from law enforcement or government agencies, (c) your own request to delete your account, (d) if Pasgorett Academy is stopped or significantly changed (in whole or part), (e) unexpected technical or security problems, (f) long periods of inactivity, or (g) your involvement in fraudulent or illegal activities. Ending your account could involve (x) taking away your access to all services offered within Pasgorett Academy, (y) deleting your password and all related information, files, and content connected to or within your account (or any part of it), and (z) preventing you from using Pasgorett Academy again. Furthermore, you agree that Pasgorett Academy has the sole right to decide the cause for any termination, and we will not be responsible to you or any other party for ending your account or your access to Pasgorett Academy.
